Kevin Clark

Executive Chairman

Kevin Clark has been appointed Executive Chairman of the Board of Directors of the Company, effective September 17, 2026. Mr. Clark succeeds Andrew Cavaghan, who has resigned as Chairman of the Board, Chief Executive Officer, and as a director, effective the same date.
Mr. Clark graduated with honors with a BS in Electrical Engineering and Computer Science from the University of California, Berkeley. He also holds a Master’s Degree in Electrical and Computer Engineering from the University of California at San Diego and a JD from Stanford Law School, where he graduated Order of the Coif. As an engineer at Qualcomm, he designed integrated circuits for satellite and cellular wireless applications, led teams designing industry-leading code division multiple access (CDMA) chips for use in second and third generation cellular systems, and later, as a patent agent, secured and managed intellectual property, primarily patent prosecution and licensing. As founding partner of Silicon Edge Law Group LLP, he helped form a unique firm specializing in helping high-tech companies develop, protect, and enhance their intellectual assets and shareholder value. He now maintains his own intellectual property law practice and remains Of Counsel to the firm. Mr. Clark was a principal at Integrity Partners, an early investor in Baidu. He joined Integrity Partners shortly after its formation, evaluating investment opportunities and working alongside entrepreneurs in portfolio companies, providing strategy, fundraising, and M&A analysis.

Nathan Dionne

CTO

Senior technology executive with deep experience in digital payments, fintech, and blockchain. Previously, he was an early team member at CashStar (acquired by Blackhawk), served as CTO of Barstool Sports (acquired by Penn National), co-founded NorthOut (acquired by ECI), and later served as SVP of Digital Transformation at ECI.

Gary Herman

Independent Non-Executive Director

Gary Herman, is a seasoned investor, capital-markets strategist, and entrepreneur with more than three decades of investment, operational, restructuring, and corporate-governance experience across public and private companies. He currently serves as Chief Operating Officer of Galloway Capital Partners, LLC, an investment firm.

Previously, Mr. Herman was affiliated with Arcadia Securities, LLC, a New York-based firm, where he co-managed Strategic Turnaround Equity Partners, LP (Cayman) and its affiliated investment entities. During that period, he also co-managed Abacoa Capital Master Fund, Ltd., a global macro-focused investment fund. Earlier in his career, he was an investment banker with Burnham Securities, Inc.

Mr. Herman has extensive experience in corporate management, restructuring, governance, and shareholder-value creation and has served on the boards of numerous public and private companies. He was a mayoral appointee to the Board of Directors of the New York City Industrial Development Agency for eight years. He also served on the Board of Directors and Investment Committee of the University at Albany Foundation and on the Entrepreneur Council at Wake Forest University.

Mr. Herman earned a B.S. in Political Science from the University at Albany’s Rockefeller College of Public Affairs & Policy, with minors in Business and Music. He is a licensed commercial pilot with an instrument rating and serves as a volunteer pilot with SkyHope.

Mr. Herman currently serves on the boards of DataMEDS AI, Inc. (Nasdaq: MEDS), SusGlobal Energy Corp. (OTCQB: SNRG), Flash Sports & Media Holdings, Inc. (OTCPK: FLZH), and Advent Technologies Holdings, Inc.

Advisory Board

Fintech veteran T. Jack Williams, inventor of the electronic gift card, joins as the first member. He brings deep expertise in crypto liquidity and payments to support Blue Gold’s tokenization and compliance efforts.

Sameer Salgar

Advisory Board

CFO of Quazar Investment, joins the Advisory Board to support the Digital Gold Initiative and UAE expansion. Salgar will guide tech rollout, vault infrastructure, and regional partnerships, strengthening Blue Gold’s strategy of combining gold assets with tokenized digital platforms.

Jagdish M. Chanrai

Advisory Board

Chairman of Beecham International Corporation and Director of the Kewalram Chanrai Group, which founded Olam Group, later exited to Temasek Holdings. Bringing institutional-scale execution, governance, and value creation expertise to Blue Gold’s tokenization strategy.
